1. The seller

Unmanned Exchange (“Seller”) is an independent reseller of pre-owned and surplus unmanned aircraft and parts. Seller is not an authorized dealer, distributor, or service partner of DJI, Autel, Parrot, Yuneec, Skydio, or any other manufacturer, and no listing is certified, endorsed, or warranted by any manufacturer. All product names and trademarks belong to their respective owners and are used only to identify the goods.

2. Condition of goods; disclaimer of warranties

Except where a listing expressly states otherwise, all items are USED and sold AS-IS, WHERE-IS, with all faults. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Descriptions and stock photographs are provided in good faith and describe the model generally; the unit shipped may differ cosmetically. Nothing in a listing creates a warranty unless labeled “Warranty”.

3. Returns

Unless a listing states otherwise, items may be returned within 30 days of delivery in the condition received; buyer pays return shipping unless the item materially differs from its description. Items marked “for parts / not working / as-is” are not returnable.

4. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLER’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM A SALE IS LIMITED TO THE PRICE PAID FOR THE ITEM. SELLER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING PROPERTY DAMAGE, PERSONAL INJURY, LOST PROFITS, OR DATA LOSS ARISING FROM USE OF ANY AIRCRAFT OR PART.

5. Buyer responsibilities

Buyer is solely responsible for lawful operation, including FAA registration, Remote ID compliance, Part 107 or recreational rules, airspace authorization, insurance, and all local laws. Unmanned aircraft are not toys; buyer assumes all risk of operation. Batteries are hazardous goods — inspect before every charge and never charge unattended.

6. Offers, orders, and availability

Counteroffers are invitations to negotiate; no contract exists until Seller confirms in writing. Offers more than $200 below the listed price are automatically declined. “By order” items are sourced after sale and estimated at ~10 business days; estimates are not guarantees. Seller may cancel and refund any order it cannot fulfill.

7. Title and risk

Risk of loss passes to buyer on delivery to the carrier (for shipped orders) or at hand-off (for pickup). Title passes on receipt of full payment.

8. Software

Firmware and software on any aircraft remain licensed by their publishers under their own terms; Seller conveys no software rights.

9. Disputes

These terms are governed by the laws of the State of Ohio. Any dispute shall be resolved in the state or federal courts of Ohio, and buyer consents to that venue. If any provision is unenforceable, the remainder stands. Seller reserves all rights and remedies available at law or in equity; failure to enforce any right is not a waiver.

11. Third-Party Marketplace

Unmanned Exchange operates a marketplace where independent third-party vendors list and sell their own items. For marketplace listings, the vendor — not Unmanned Exchange — is the seller of record and is solely responsible for the item, its description and condition, shipping, and all applicable taxes. Creating a listing is free; upon sale, a 10% commission is deducted from the vendor proceeds and a separate 10% marketplace fee is charged to the buyer at checkout. Marketplace items must be used, heavily used, or non-functioning; new items are prohibited. Vendors must register, accept these terms, and configure a valid payout method before receiving disbursements. Marketplace listings are labeled as third-party listings; Unmanned Exchange makes no warranty for them and disclaims all liability to the maximum extent permitted by law.

12. Auctions

In-stock items may be offered by continuous auction with a hidden reserve. Bids are binding offers to purchase at the bid amount; the highest bid meeting the reserve when a term ends wins, and the winner will be contacted by phone to complete payment. Auctions relist automatically at the end of each term. Seller may cancel bids, end an auction early, or sell the item via Buy It Now at any time before a term ends. Reserve amounts are not disclosed.
